Supplier Terms of Service

1. What ResupplyAI does
ResupplyAI matches your inventory against open DLA solicitations and forwards your quotes to buyers. We act as an intermediary; we do not buy your goods ourselves. Using the supplier platform is free.
2. Your account
Accounts are tied to a company. You're responsible for keeping your credentials and your team's logins secure, and for the accuracy of the inventory, pricing, and certifications you provide. Each teammate must use their own login.
3. Quotes & pricing
- You set your own prices. ResupplyAI never sets or suggests a price on your behalf.
- Quotes must cover the full quantity requested, partial quotes aren't accepted.
- A quote is an offer to sell at the stated price and terms; you're expected to honor it if selected.
4. Awards, purchase orders & fulfillment
If a buyer is awarded a solicitation that includes your quote, ResupplyAI shares the billing details so you can issue your purchase order. Once your PO is uploaded, the sale, shipping, invoicing, and payment are handled directly between you and the buyer. ResupplyAI is not a party to that transaction.
5. Data & confidentiality
You retain ownership of your inventory and pricing data. Suppliers never see other suppliers, and you never see the buyer until an award. We use your data only to operate the matching service. See our Privacy Policy.
6. Acceptable use
Don't scrape, reverse-engineer, overload, or attempt to access data that isn't yours. Automated access outside provided features is prohibited. We may suspend accounts that abuse the platform.
7. Your representations & honest disclosure
By using the platform, you represent and warrant, on behalf of your company, that:
- All inventory, pricing, certifications, and documents you submit are true, accurate, and belong to your company, or you have the right to supply them.
- Every representation you make to ResupplyAI, or through us to a buyer or government end customer (including part matches, condition, traceability, and certifications), is honest and made in good faith.
- You will not knowingly misstate the source, authenticity, or status of any item. Representations made in connection with a U.S. Government solicitation may carry legal consequences for which you are responsible. Pending counsel
8. Content you upload
You keep ownership of what you upload. You grant ResupplyAI a limited license to store, process, and share it only as needed to operate the matching service and your quotes. By uploading, you confirm:
- You own or have the rights to the files, and they don't infringe any third party's intellectual property or confidentiality.
- The content does not contain export-controlled technical data (ITAR/EAR) or Controlled Unclassified Information (CUI) you are not authorized to share through this platform. Pending counsel

We respond to valid intellectual-property complaints and remove infringing material. A DMCA agent and takedown process will be designated here. Pending counsel
9. How ResupplyAI uses AI
ResupplyAI uses automated and machine-learning systems to match your inventory against DLA solicitations and to rank opportunities by factors such as deadline and quantity. These are decision-support tools, they don't guarantee an award, and a person on our operations team reviews and assigns quotes. You remain responsible for the prices and information you submit.
10. Dispute resolution & arbitration

11. Limitation of liability

12. Disclaimers & changes
The service is provided "as is." We may update these terms; we'll notify the account's primary email of material changes. Continued use means acceptance.
