These Terms govern your use of ResupplyAI Search ("Search"), a subscription information tool offered by [legal entity name, state of formation, address] ("ResupplyAI", "we"). By creating an account or starting a subscription you agree to these Terms. If you accept for a company, you confirm you can bind it.

1. What Search is (and is not)

Search is a self-service software tool that organizes publicly available U.S. Government solicitation and award information so you can find and track opportunities. Search does not provide quotes and is not procurement, pricing, legal, contracting or investment advice. You prepare, price, certify and submit your own offers to the Government.

2. Not a government site

ResupplyAI is a private company, not affiliated with, endorsed by, or acting on behalf of the Defense Logistics Agency, the Department of Defense or any U.S. Government entity. Names such as DIBBS, DLA or SAM.gov are used only to describe the public sources. Always verify a solicitation on the official source before bidding.

3. License to use Search

Subject to these Terms and payment of the fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Search for your own internal business purposes during the subscription term. We keep all rights not expressly granted.

• Named users. Each subscription is for one named user unless your plan says otherwise: [to be completed] (seats/team use to be decided). Each user's login is personal and may not be shared.
• If a login is shared, we may suspend the account after notice. Your saved searches are kept in an inactive state and you can export them; we do not delete them as a penalty.

4. Acceptable use

You will not: 1. resell, sublicense, redistribute, publish or make available Search content, exports or alerts to third parties, or build a competing database or service from them; 2. scrape, crawl, bulk-download or systematically extract data, or use bots or automated means against Search except through an interface we provide; 3. share your login, or circumvent limits, paywalls or security; 4. use Search to violate law, including export-control and sanctions rules, or to submit false statements or certifications to the Government; 5. upload or enter export-controlled (ITAR/EAR) technical data, CUI or other restricted material; 6. use Search to impersonate the Government or imply government endorsement; 7. use Search content, exports or alerts to train, fine-tune, test or otherwise develop any artificial-intelligence or machine-learning model, or load them into a third-party AI model or service to build a dataset, database or product, except as we expressly allow in writing. This does not limit how you use your own notes and content.

Export and download limits. We may set reasonable limits on the number of records you can view, export or download in a period, and we may log exports to protect the service.

We may suspend access for violations.

4A. Sanctions and export compliance

You represent that neither you nor any user of your account (a) is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. embargo, or (b) is listed on, or owned or controlled by a party listed on, a U.S. Government restricted-party list, including OFAC's Specially Designated Nationals list and the Commerce Department's Entity List and Denied Persons List. You will not access or use Search from an embargoed country or region, or export, re-export or transfer anything obtained through Search in violation of U.S. export-control or sanctions laws. We may suspend or close accounts to comply with these laws.

5. Public data, no warranty on accuracy

Search content comes from public sources, such as, and is refreshed [daily / at the frequency shown for each source]. Each record links to the official source and shows the date it was last checked when available. Content may be late, incomplete or wrong, including because of how a source is published or read, and should not be relied on as a complete or exact copy of the official record. It is provided "as is". The official source controls. We do not guarantee that you will win any award or that any listing is current. Set-aside, quantity, dates and technical requirements must be confirmed in the official solicitation.

6. Accounts and security

You are responsible for your credentials and for activity under your account. Tell us promptly of unauthorized use at info@resupplyai.com.

7. Fees, billing and automatic renewal

• Plans: monthly US$49 or annual US$490, plus applicable taxes.
• Free trial: 14 days. You choose a plan and enter a payment card when the trial starts; nothing is charged that day. When the trial ends, the plan you chose starts and your card is charged its price automatically, unless you cancel before the trial end date shown at sign-up and in your confirmation email. If you cancel during the trial you are not charged and you keep full access until the trial end date; after that you move to the free plan. We email you a reminder with the amount and date at least 3 days before the first charge. One free trial per person and per company. We may decline or end a trial that uses a disposable email address, duplicates a prior trial, or is opened by a competitor to evaluate our service.
• Automatic renewal: your subscription renews automatically at the end of each billing period (monthly or annual) at the then-current price unless you cancel before the renewal date. We will show these terms before collecting payment details and obtain your express consent, and send a reminder between 15 and 45 days before each annual renewal, with the amount, the date and how to cancel.
• Payment processor: payments are handled by [payment processor]. Whether the processor or ResupplyAI is the seller of record, and who collects tax, is [to be completed].
• Taxes: prices exclude sales, use or similar taxes, which we add where required.

8. Cancellation

You can cancel at any time in Account > Cancel trial or Cancel plan, in two clicks, with no call or email needed, and we email you a confirmation. Cancellation takes effect at the end of the current paid period; you keep access until then. We do not delete your saved searches when you cancel: they stay in an inactive state and can be restored on re-subscription or exported on request.

9. Refunds

• Monthly plan: fees already paid are [non-refundable / refundable within [to be completed] days of first charge].
• Annual plan: [pro-rated refund within [to be completed] days / no refund after [to be completed] days].
• If we discontinue Search, we will refund the unused, prepaid portion of your subscription on a pro-rated basis.
• If we materially fail to provide Search for a period, we will [credit / refund] the affected period.
• Nothing here limits refund rights you have under law.

10. Changes to price and to the service

We may change prices or plan features with at least [30] days' written notice by email and in the account; the change applies from your next renewal. If you do not accept, you can cancel before it takes effect. Annual subscribers keep the price until their renewal date. We may modify Search; if we remove a material feature we will [to be completed].

11. Our content and your content

We own Search, its software and our compilation, tags and scores. You own your saved searches, notes and uploads ("Your Content") and give us a limited license to host and process Your Content only to provide and secure Search for you. We do not use Your Content to serve, inform or benefit other customers, and we do not sell it.

12. AI-assisted features

Some features use automated/AI processing; see the AI Disclosure [link]. AI output can be wrong and is not advice. You are responsible for verifying it before relying on it in a bid. We do not use Your Content to train AI models, and we do not allow our AI providers to do so. The AI providers we use, what they receive and where they process it are listed at [link]; we will update that list before adding or replacing a provider that processes Your Content.

13. Privacy

14. Disclaimers

Search is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

15. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits; (b) we are not liable for any missed opportunity, lost, rejected, late, non-responsive or erroneous bid or offer, or lost award or contract, arising from your reliance on Search content, alerts or AI output; (c) our total liability for all claims is limited to the fees you paid us in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limits.

16. Indemnity

You will defend and indemnify us against third-party claims arising from your misuse of Search, your breach of these Terms, or the bids and certifications you submit to the Government.

17. Term and termination

These Terms last while your account is active. We may suspend or terminate for breach, non-payment, or legal risk (including sanctions, see 4A), with notice where practicable. Sections that by nature survive (4, 4A, 11, 14-16, 18-19) survive termination.

18. Governing law and disputes
